UpperSearch Software License

1. Device Limits & Concurrency

• Each UpperSearch software license is valid for active use on exactly one (1) Windows PC at a time.
• The software is designed and supported for 64-bit editions of Windows 10 and Windows 11.
• You may move your license from one Windows computer to another by deactivating the license on the old computer and activating it on the new computer.

2. License Key Integrity & Resale Restrictions

Your software license key is uniquely tied to your purchase. You agree to maintain the strict confidentiality of your license key. Specifically:

• You may not publish, share, distribute, rent, lease, sublicense, or resell your license key to third parties.
• Multi-seat concurrency or simultaneous shared usage across multiple workstations without purchasing corresponding licenses is strictly prohibited.

3. Reverse Engineering & Modifications

You agree not to decompile, reverse engineer, disassemble, unpack, or attempt to derive the source code of the UpperSearch desktop client or its internal modules, except only to the limited extent that applicable statutory law expressly permits such activity notwithstanding this contractual restriction.

Modifying software binaries, patching license validation checks, or distributing modified versions of UpperSearch constitutes copyright infringement and will result in immediate license termination.

4. Separation of Third-Party Data Providers

This license covers the UpperSearch desktop software program only.

• Live SEO queries require your own separate account with supported data providers (primarily DataForSEO, and Host.io for Reverse AdSense queries).
• Third-party data costs are paid directly to those external services. UpperSearch does not bundle third-party data charges or guarantee third-party pricing stability.

5. Early Access Lifetime License Scope

The Early Access Lifetime License is a one-time software license to use the UpperSearch Windows desktop software without recurring UpperSearch software subscription fees for that license.

The license includes updates that UpperSearch chooses to make generally available for the licensed UpperSearch desktop product at no additional recurring UpperSearch subscription fee.

It does not guarantee any particular update schedule, support duration, future feature, separate product, cloud service, or separately sold add-on.

6. Refunds & License Termination

If you request and receive a refund under our 30-Day Money-Back Guarantee, your license key will be deactivated on our license server and you agree to delete and uninstall the application from your machine.

Except where applicable law provides otherwise, we reserve the right to revoke or terminate a license immediately without notice in the event of material breach, including software piracy, license tampering, or distribution of unauthorized keys.
